Terms of Service

These Terms of Service ("Terms") are an agreement between JEZT Digital ("we", "us") and the business that signs up for or uses JEZT Digital Console (the "Service"), together with the people that business authorizes to use it ("you", "Customer"). By creating an account, signing in, or using the Service, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind it.
1. The Service
The Service is business software for managing customers, accounts and related records, delivered over the internet. Features depend on the modules included in your plan or order form. We may improve, change or add features over time. We will not materially reduce the core functionality of a paid plan during its current term without notice.
2. Demo and trial environments
Demo, trial and staging environments (including any site labeled "Demo") are provided as-is for evaluation. They may be reset, changed or removed at any time. Security features may be relaxed for demonstration purposes (for example, two-step verification may be skipped). Do not enter real customer, payment or personal information into a demo environment.
3. Accounts and security
- You are responsible for the people you invite, the roles you give them, and all activity under your accounts.
- Each person must use their own sign-in. Do not share passwords or authenticator codes.
- Keep two-step verification turned on where the Service offers it, and tell us promptly at [security contact email] if you suspect unauthorized access.
- We may suspend access that appears compromised or that threatens the Service or other customers, and will tell you as soon as reasonably possible.
4. Your data
You own the data you and your users put into the Service ("Customer Data"). You give us permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service, and as described in our Privacy Policy. You are responsible for having the right to collect and use the Customer Data you enter, including information about your own customers. You can export your account and contact records at any time using the Service's export features.
5. Acceptable use
You will not: (a) use the Service for anything unlawful, including sending unsolicited marketing that violates law; (b) try to access other customers' data or bypass security or usage limits; (c) upload malware or attack the Service; (d) resell or provide the Service to third parties except as your plan allows; (e) enter full payment card numbers, bank account numbers or government ID numbers into free-text fields such as notes (use the payment features designed for that purpose; see Card Payment Security).
6. Third-party services
The Service may connect to services you choose, such as payment processors, Google or Microsoft sign-in, accounting software or email providers. Your use of those services is governed by their terms. We are not responsible for third-party services, but we choose integrations with care and protect the credentials you give us.
7. Fees
Fees, billing periods and any setup or migration charges are stated in your order form or plan. Unless the order form says otherwise, fees are billed in advance, are non-refundable except where required by law, and exclude taxes. We may suspend the Service for invoices more than 30 days overdue after giving notice.
8. Availability and support
We aim to keep the Service available at all times except for planned maintenance, which we try to schedule outside normal business hours. Support channels and hours are described in your plan. Service levels, if any, are defined in your order form.
9. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms.
10. Intellectual property
We own the Service, including its software, designs and documentation. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you give us may be used without obligation to you.
11. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as stated in these Terms, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. The Service helps you track information (for example tax exemptions or regulatory documents), but you remain responsible for your own tax, regulatory and compliance obligations.
12. Limitation of liability
To the fullest extent allowed by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party's total liability arising out of these Terms is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.
13. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data you had no right to use or from your breach of Section 5. We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes their intellectual property rights.
14. Term, termination and your data
These Terms last while you use the Service. Either party may end a subscription as described in the order form, or immediately if the other party materially breaches these Terms and does not fix the breach within 30 days of notice. After termination we will make Customer Data available for export for 30 days, then delete it from active systems. Backups are overwritten on their normal schedule.
15. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Service. Continued use after the effective date means you accept the updated Terms.
16. General
These Terms are governed by the laws of the State of [state], without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located there. If any part of these Terms is unenforceable, the rest remains in effect. These Terms and your order form are the entire agreement about the Service.
